Terms and conditions

These terms govern use of the website, client area, license server, update channel and NexaDesk Gestionale software.

These texts are prepared for operational use on the NexaDesk website. A final legal/tax review is still recommended before broader commercial sale, especially for tax identifiers, withdrawal rights and invoicing.

Provider

NexaDesk is a project/trading name operated by Giovanni Amorelli, Herrnstr. 4, 63065 Offenbach am Main, Germany. Contact: support@nexadesk.de. German VAT ID: DE453177280.

Service scope

NexaDesk Gestionale is desktop software for client management, technical service, business documents, quotes, orders, invoices, contracts, rental equipment, ticket portal, licenses and agent components. Some features require internet access, an active license, SMTP configuration or external services.

License

Purchase or activation grants a non-exclusive, non-transferable right to use the software according to the selected plan. Source code, brand, software structure and components remain owned by the provider or their respective licensors.

Free trial

The free trial lasts 14 days from trial license creation or activation. After expiry, the software may require a valid license. Data created during the trial is not automatically deleted.

Subscriptions

Monthly, semiannual and annual licenses are valid for the purchased period. After expiry, the software may show warnings and apply a 5-day technical grace period. After that, use may be blocked until renewal or new activation.

Lifetime license

The lifetime license unlocks main use without license expiry. Updates are included for the first year from activation. After the first year, new versions, fixes and improvements may require a separate update service.

Plans and limits

Each plan may include limits for client records, activations, features, documents or connected services. Activations may be tied to devices. Exceeding limits may require upgrade or administration.

Prices and payment

Prices may vary by country, plan, taxes, included services, e-invoicing or document volume. Unless agreed otherwise, the license is delivered after payment confirmation.

Digital delivery

The software is provided by download and/or the NexaDesk update channel. The user is responsible for installing on compatible systems and keeping credentials/licenses safe.

Updates

Updates may include fixes, new features, technical adjustments or security improvements. Some updates may require minimum Windows/macOS versions or additional components.

Data and backups

The software may store data locally or in paths configured by the user. The user is responsible for backups unless a separate service is agreed. Updates are designed not to delete data, but backups remain strongly recommended.

Ticket portal and web components

The generated ticket portal must be installed and configured on compatible hosting. Tokens, URLs, database, SMTP and server permissions are the responsibility of the portal administrator.

Agents and monitoring

NexaDesk agents or SNMP/network checks collect technical metrics for configured devices. They must be installed only on authorized systems and must respect privacy, security and customer policies.

E-invoicing

FatturaPA XML generation and integrations with SDI/e-invoicing services depend on product state and selected third-party services. The user remains responsible for tax correctness of data, rates, SDI/PEC and invoice content.

Prohibited use

Illegal use, unauthorized access, security violations, unauthorized processing of personal data and unauthorized distribution of the software are prohibited.

Support

Support is provided through the client area, email or channels shown on the website. Response times, priority and included services may depend on the selected plan.

Warranties and liability

The software is provided as available. To the extent permitted by law, the provider is not liable for indirect damages, lost profits, outages, tax errors caused by incorrect input, data loss due to missing backups or non-compliant use. Mandatory consumer rights remain unaffected.

Withdrawal and digital content

EU consumers may have withdrawal rights for distance purchases. For immediately delivered digital content, performance before the end of the withdrawal period may begin only under the conditions required by law. For business/B2B customers, withdrawal may be excluded unless agreed otherwise.

Changes

These terms may be updated for technical, commercial or legal reasons. The website version applies to purchases made after publication.

Applicable law

Unless mandatory rules provide otherwise, German law applies. Mandatory consumer protections in the country of residence remain unaffected.
